For Full-Time Regular Employees in the U.S.

The following is a summary of Unify Corporation's benefits provided to full-time regular employees.

MEDICAL INSURANCE COVERAGE

Effective on your date of hire. Medical coverage is available through Blue Shield (for all Unify U.S. locations) or through Kaiser Health Foundation (for all Unify California locations). We offer both a PPO and an HMO plan through Blue Shield for employees located in California and a Blue Shield indemnity plan for those who are located outside of California. You may opt-out of medical insurance coverage if you can show proof of other coverage. If you opt-out you will receive a credit of $42.67 each month which you may elect to receive as taxable income or to place in your Pre-Tax Spending Accounts.

PRE-TAX FLEXIBLE SPENDING ACCOUNTS

We offer two pre-tax flexible spending accounts through Benesphere Administrators. The Health Care Expense Account and the Dependent Care Reimbursement Account. You may elect to contribute up to $1,000 annually to your Health Care Expense Account and up to $5,000 annually to your Dependent Care Reimbursement Account.

DENTAL COVERAGE

Our dental plan is provided through Employers Health Insurance. The plan provides 100% coverage for check-ups, x-rays and cleanings with a $0 deductible. There is a $50/year deductible amount for all other dental work. Basic dental work is covered at 85% and major dental work is covered at 50%. There is a yearly maximum of $1,500 per person. There is orthodontia coverage up to age 19, which has a separate lifetime deductible of $100, a lifetime maximum of $1,000 and provides 50% coverage.

VISION COVERAGE

Our vision plan is provided through Vision Service Plan. The plan offers an eye examination every 12 months as well as lenses and frames every 24 months. There is a $10/year deductible amount.

EMPLOYEE ASSISTANCE PROGRAM

The Employee Assistance Program (EAP) is delivered by MCC Managed Behavioral Care, Inc.

LIFE INSURANCE, AD&D, LONG-TERM DISABILITY

We provide life insurance coverage through Phoenix Mutual and Blue Shield at no cost to you: the greater of $20,000 or 2 times your annual salary up to a maximum of $400,000 is provided.

SHORT-TERM DISABILITY INSURANCE

We provide STD income protection for disabilities lasting up to 90 days. This benefit is available to employees who have no available accrued sick time. The plan provides for 2/3 of normal gross income, after coordinating with any available government-mandated benefits. This payment can be coordinated with available vacation leave pay to receive up to 100% of normal gross income.

401K PLAN - TAX FAVORED SAVING PLAN

An easy and convenient way to set money aside while reducing your current, and possibly future, Federal and state income taxes. Unify Corporation does make an employer contribution.

EMPLOYEE STOCK PURCHASE PLAN

This is a great way of acquiring an equity interest in Unify Corporation at a discount from the market price. The plan allows you to purchase shares at 85% of the fair market value at the beginning or end of the plan period, whichever is lower. Payment for these shares is made through payroll deductions. The plan has 24-month option periods and 6-month exercise periods.

SICK LEAVE

Paid time away from work is available where such absence is necessary for:
  1. An employee's disabling injury, illness, and/or contagious condition requiring necessary medical care or doctor's visitation;
  2. The disabling injury, illness, and/or contagious condition of your immediate family;
  3. Maternity related leave.
Sick leave accrues at a rate of 8 hours per month, or 12 days per year. The maximum accrual amount is 576 hours (72 days). Effective on hire date.

LEAVES OF ABSENCE

Several types of leaves of absence (LOA) are available to utilize as necessary with pre-approval from your manager and\or with certification from your physician. Your manager and\or Human Resources has more information on LOA's. Effective after 90 days of employment with Unify Corporation.

HOLIDAYS

We recognize 10 holidays per year: New Year's Day, President's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, the day after Thanksgiving, Christmas Eve, Christmas Day, and one floating holiday. A schedule of holiday dates is published at the beginning of each year. Effective on hire date.

Accrual of vacation time begins on hire date; eligibility to take vacation begins after six months of employment.

TUITION REIMBURSEMENT

We will provide 100% reimbursement of approved out-of-pocket expenses such as registration fees, tuition, lab fees, and required books if the course work is 1) directly related to your present assignments, or reasonable future assignments, or part of the curriculum for a degree which has been determined to be job-related, and 2) a grade of C or better is attained. Pre-approval is required by your manager and Human Resources. Effective after 90 days of employment with Unify Corporation.
